Terms of Service for RigSnap

1. Agreement to Terms

By accessing or using RigSnap ("the App", "our services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the App.

2. Description of Service

RigSnap is a mobile platform that connects truck drivers ("Truckers") with roadside service providers ("Service Providers") for:

• Towing services
• Road service and repairs
• Mobile mechanic services
• Mobile tire repair
• Mobile truck wash
• Hose repair and other services

3. Eligibility

To use RigSnap, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into these Terms
• For Service Providers: Hold all necessary licenses, certifications, and insurance required by law
• For Truckers: Hold a valid commercial driver's license (CDL) where required

4. Account Registration

Account Creation

• You must provide accurate, complete, and current information
• You are responsible for maintaining the security of your account
• You must notify us immediately of any unauthorized access
• You may not transfer your account to another person

Account Types

• Trucker Account: Request and pay for services
• Service Provider Account: Offer and provide services

5. User Responsibilities

All Users Must:

• Provide accurate information
• Use the App in compliance with all applicable laws
• Treat other users with respect and professionalism
• Not engage in fraudulent or deceptive practices
• Not use the App for any illegal activities
• Maintain adequate insurance coverage

Service Providers Must:

• Hold all required licenses and certifications
• Maintain appropriate business insurance
• Provide services in a professional and timely manner
• Respond to service requests within reasonable timeframes
• Comply with all applicable safety regulations
• Set accurate pricing and service availability

Truckers Must:

• Provide accurate location and service need information
• Be present at the service location
• Provide safe access to their vehicle
• Pay for services as agreed

6. Service Requests and Transactions

Request Process

1. Trucker submits a service request with location and needs
2. Nearby Service Providers receive notifications
3. Service Provider accepts the request
4. Parties communicate through the App
5. Service is performed
6. Payment is processed
7. Users can rate and review each other

Cancellations

• Either party may cancel a request before service begins
• Excessive cancellations may result in account suspension
• Service Providers may charge a cancellation fee if work has begun

Payments

• All payments are processed securely through Stripe
• Service Providers set their own rates
• Payment is due upon completion of service
• RigSnap charges a platform fee on completed transactions
• Refunds are handled on a case-by-case basis

7. Fees and Payments

Platform Fees

• RigSnap charges Service Providers a percentage fee on completed transactions
• Fee structure will be communicated during onboarding
• Fees are subject to change with 30 days notice

Payment Processing

• We use Stripe for secure payment processing
• You agree to Stripe's terms of service
• Payment information is not stored on RigSnap servers
• You are responsible for any payment processing fees

Privacy and Data

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

Intellectual Property

RigSnap and its original content, features, and functionality are and will remain the exclusive property of RigSnap and its licensors. The Service is protected by copyright, trademark, and other laws.

You may not reproduce, distribute, modify, or create derivative works of our content without our written permission.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. RIGSNAP DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Uninterrupted or error-free operation
• Quality or safety of services provided by third-party providers

Limitation of Liability

IN NO EVENT SHALL RIGSNAP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or business opportunities
• Damages arising from service provider interactions
• Delays, cancellations, or service quality issues
• Any damages exceeding the amount paid for services

Indemnification

You agree to indemnify and hold harmless RigSnap from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

Account Termination

We reserve the right to terminate or suspend your account at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Safety concerns or risk to other users
• Inactivity for extended periods

Dispute Resolution

Any disputes arising from these Terms or your use of the Service will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits.

Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles. Any legal actions must be brought in the courts of Travis County, Texas.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes through the app or email. Continued use of the Service after changes constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

8. Ratings and Reviews

• Users can rate and review each other after completed services
• Reviews must be honest and based on actual experiences
• We reserve the right to remove inappropriate or fraudulent reviews
• You may not manipulate ratings or reviews

9. License and Restrictions

License Granted

We grant you a limited, non-exclusive, non-transferable license to use the App for personal or business use.

You May Not:

• Modify, reverse engineer, or decompile the App
• Use the App for any unlawful purpose
• Interfere with or disrupt the App's operation
• Attempt to gain unauthorized access to the App
• Use automated systems to access the App
• Copy, distribute, or disclose any part of the App
• Remove any copyright or proprietary notices

10. Intellectual Property

• RigSnap and all associated trademarks, logos, and service marks are our property
• Content you submit remains your property, but you grant us a license to use it
• We grant you no rights to our intellectual property except as expressly stated

11. User Content

Content You Provide

• You retain ownership of photos, messages, and other content you submit
• You grant RigSnap a worldwide, non-exclusive, royalty-free license to use your content
• You are responsible for your content and must have all necessary rights
• We may remove content that violates these Terms

Prohibited Content

You may not post content that:

• Is illegal, harmful, or offensive
• Infringes on intellectual property rights
• Contains viruses or malicious code
• Impersonates another person
• Contains spam or advertising
• Violates another user's privacy

12. Location Services

• The App requires location services to function properly
• You consent to collection and use of location data as described in our Privacy Policy
• You can disable location services, but this will limit functionality
• Location data is used to match users and provide services

13. Safety and Insurance

Independent Contractors

• Service Providers are independent contractors, not RigSnap employees
• RigSnap does not control how Service Providers perform services
• RigSnap is not responsible for Service Provider actions

Insurance

• Service Providers must maintain appropriate insurance coverage
• RigSnap does not provide insurance for users
• Users should verify insurance coverage before services begin

Background Checks

• Service Providers may be subject to background checks
• RigSnap does not guarantee the accuracy of background checks
• Users should exercise caution and good judgment

14. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability or fitness for a particular purpose
• Accuracy, reliability, or availability of the App
• Services provided by Service Providers
• Safety or quality of services

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• RigSnap is not liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid in the past 12 months
• We are not responsible for Service Provider actions or quality of services
• We are not liable for property damage, personal injury, or other harm

16. Indemnification

You agree to indemnify and hold harmless RigSnap, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of another person
• Services you provide or receive through the App

17. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of [Your State], United States, without regard to conflict of law principles.

Arbitration Agreement

• Most disputes must be resolved through binding arbitration
• You waive the right to a jury trial or class action

18. Termination

By You

• You may delete your account at any time through the App settings
• Deletion does not affect already-completed transactions

By Us

• We may suspend or terminate your account if you violate these Terms
• Engage in fraudulent activity
• Receive excessive negative reviews
• Pose a safety risk to other users
• Fail to maintain required licenses or insurance (Service Providers)

Effect of Termination

• Your license to use the App ends immediately
• We may delete your data after a retention period
• Provisions that should survive termination will remain in effect

19. Changes to Terms

• We may update these Terms from time to time
• We will notify you of material changes via email or in-app notification
• Continued use after changes constitutes acceptance
• If you don't agree to changes, you must stop using the App

20. General Provisions

Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and RigSnap.

Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

Waiver

Failure to enforce any provision does not waive our right to enforce it later.

Assignment

You may not assign these Terms. We may assign them to a successor or affiliate.

Force Majeure

We are not liable for delays or failures due to circumstances beyond our control.

21. Special Provisions

Emergency Services

• RigSnap is not an emergency service
• In case of emergency, call 911 or local emergency services
• Do not rely on the App for life-threatening situations

No Guarantee of Service

• We do not guarantee Service Provider availability
• Service quality is the responsibility of Service Providers
• Response times may vary

Market Conditions

• Service Provider rates may vary based on demand and location
• Surge pricing may apply during high-demand periods
• Rates shown are estimates and may change

Acknowledgment

By creating an account or using RigSnap, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
